2007 Audit Fees

In our 2008 Proxy Statement we disclosed that approximately $10 million of the $11.4 million tax fees, and approximately $1.7 million of the $10 million audit and audit-related fees, that we paid to Deloitte & Touche LLP, our auditors, in 2007 were related to the Cendant Separation and that the substantial majority of such costs were reimbursed to us by Relaogy and Wyndham Worldwide, two of our former subsidiaries that were spun-off in July 2006 as part of the Cendant Separation. Of the $10 million in tax fees that were Separation-related, Realogy and Wyndham's portion is $9,972,000 and of the $1.7 million in audit and audit-related fees that were Separation-related, Realogy and Wyndham's portion is $1,223,000.
